Terms and Conditions
	To be an authorized affiliate of MoonShadows Farm, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the MoonShadows Farm service as an affiliate. By signing up for the MoonShadows farm affiliate program, you indicate your acceptance of this agreement and its terms and conditions. AFFILIATE WEB SITE APPROVAL CRITERIA: MoonShadows Farm reserves the right to reject any site based on the following criteria: Sexually explicit or adult oriented, promotion of violence, illegal or borderline illegal activities, copyright violations or sites that we choose to not be associated with. Websites receiving initial approval for the Affiliate Program of MoonShadows Farm will be periodically checked for continued compliance. Any Affiliate's website found to be no longer in compliance will be notified immediately of possible termination of participation and all future referral fees and all related items deemed "benefits" of the Affiliate Program of MoonShadows Farm. TERMS OF THIS AGREEMENT: The term of this agreement begins at the time you are accepted until cancelled by either party. Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying sales are not cancelled by the customer. Payment of the final commission payment to the Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid. DISCLAIMER: MoonShadows Farm will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, MoonShadows Farm is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service. INDEPENDENT CONTRACTOR: The relationship between MoonShadows Farm and Affiliate established by this agreement is that of independent contractors. Affiliate and MoonShadows Farm shall each conduct its respective business at it own initiative, responsibility and expense and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. The term "Affiliate" shall not be interpreted as a legal partner or associate, simply as an independent contractor for MoonShadows Farm under this agreement. As such all Associates will be responsible for their own taxes and any other tax liabilities that affect sales of our product in the Affiliate's respective state. Nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or represent on MoonShadows Farm's behalf. You may not make any statement, whether on your site or otherwise, that would contradict anything in this section. COMMISSIONS: Our payment (commissions) to you is a percentage of the gross amount that you or the person you referred spent online at our web sites, after following a link to our website, from your website. We will not make a referral payment for any transaction for which payment has not been fully received or for any transaction that has been rejected for any reason. We are not responsible for paying interest to the Affiliate for accrued, but not yet delivered referral payments. If any transaction incurs a chargeback or if the online transaction is not completed in every way, no commission payments are due to the Affiliate. If one has already been paid, then it will be deducted from an active Affiliate's accrued referral payment; otherwise it will become due immediately from the Affiliate (or former Affiliate). PRIVACY: To protect MoonShadows Farm customer privacy, we cannot provide identifying customer names and contact information to you. However, we will provide an online report detailing price, service, date of sale and perhaps other data for your records. LIMITATION OF DAMAGES: MoonShadows Farm shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if MoonShadows Farm has been advised of the possibility of such damages. MoonShadows Farm aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by the MoonShadows Farm under this agreement. SPAMMING OR UNSOLICITED EMAIL: MoonShadows Farm expressly forbids the sending of unsolicited commercial email. The sending of unsolicited email will result in immediate removal from the Affiliate Program and forfeiture of all commissions not paid at that time. MODIFICATION OF THIS ASSOCIATE AGREEMENT : This agreement may be modified at any time by MoonShadows Farm, in its sole discretion, by modifying our web site. Continued participation in the Affiliate Program constitutes an agreement with its then current rules and information, posted at our web site. WARRANTY DISCLAIMER: MoonShadows Farm makes no warranties expressed or implied with regard to the Affiliate Program except as outlined in this agreement. GOVERNING LAW: This agreement shall be governed by the laws of the State of Pennsylvania and the United States of America.
